Agreement to Our Legal Terms

These Terms and Conditions (“Terms”) are a legally binding agreement between you (“you”) and DigitalRealm Solutions (“Company,” “we,” “us,” or “our”). By accessing or using our Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Our Services

“Services” include our website, any pages or forms that link to these Terms, and services we provide related to digital marketing, advertising, CRM and automation, communications, and related consulting or implementation. This may include access to a white-labeled mobile application built on or branded from LeadConnector (“App”), along with messaging and communications features (including SMS).

The Services are intended for users who are at least 18 years old. If you are under 18, you may not use the Services.

The Services are not designed to comply with industry-specific regulations (such as HIPAA, FISMA, GLBA). If your use would require compliance with such regulations, you may not use the Services.

2. Accounts and Registration

You may be required to create an account or provide information to access certain features. You agree to provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

We may suspend or terminate access if we believe the information provided is inaccurate, incomplete, or if your use violates these Terms.

3. Purchases, Payments, and Billing

If you purchase services or pay invoices through the Services, you agree to provide current, complete, and accurate billing information. Prices, fees, and payment terms may be described in proposals, invoices, order forms, or other written communications. Unless otherwise stated, all amounts are in U.S. dollars.

If you authorize recurring billing, you authorize us (or our payment processor) to charge your selected payment method on a recurring basis until you cancel. You are responsible for any taxes that may apply.

We may correct billing errors even if we already requested or received payment, to the extent permitted by law.

4. Cancellations and Refunds

Unless a separate written agreement states otherwise, you may cancel ongoing services by contacting us at [email protected]. Cancellation becomes effective at the end of the current paid term or billing cycle, as applicable.

Refunds are not guaranteed and may be handled on a case-by-case basis unless required by law or specifically stated in a written agreement.

5. Advertising Services and No Guaranteed Results

If you purchase advertising services (including Meta Ads and Google Ads), you understand and agree that results vary and are not guaranteed. Performance depends on factors outside our control, including market conditions, competition, budgets, offer quality, landing pages, tracking configuration, and platform policies.

You are responsible for ad spend paid to advertising platforms unless a written agreement states otherwise. We are not responsible for platform outages, policy enforcement actions, ad account restrictions, disapprovals, or suspension of accounts by third parties.

6. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation.
• Transmit spam, unsolicited marketing, or abusive communications.
• Upload or transmit malware or harmful code, or attempt to gain unauthorized access to systems or accounts.
• Harass, threaten, defame, or impersonate others.
• Scrape, copy, or systematically extract data without our written permission.
• Interfere with the security or operation of the Services.
• Use the Services in a way that violates third-party terms (including advertising platforms and communications providers).

7. SMS Messaging Terms

By providing your phone number and opting in through our website forms, booking forms, or other opt-in methods, you consent to receive SMS text messages from DigitalRealm Solutions.

We may use third-party service providers to deliver SMS and communications (including a white-labeled Twilio/LeadConnector messaging setup). We do not guarantee delivery or timing of messages, as carriers and providers may delay or block messages.

8. Intellectual Property

We own or license the content, designs, text, graphics, logos, and other materials on the Services (“Content”) and the trademarks and branding associated with DigitalRealm Solutions (“Marks”). You may not copy, reproduce, distribute, or create derivative works from our Content or Marks without our prior written permission, except for normal browsing and use of the Services.

9. Client Materials and Ownership

Unless a separate written agreement states otherwise, you retain ownership of your pre-existing materials you provide to us (such as logos, brand assets, photos, and copy you own). You grant us a limited license to use your materials solely to provide the Services.

Deliverables and work product we create for you (such as ad creatives, landing pages, workflows, automation builds, websites, funnels, copy, and configurations) may include third-party components, templates, or platform restrictions. Ownership and transfer terms may vary depending on the platform used and the scope defined in your invoice or written agreement. If you want a specific ownership or transfer arrangement, it must be stated in writing.

10. Third-Party Services

The Services may integrate with or link to third-party products and services (such as LeadConnector, Twilio, Meta, Google, Stripe, PayPal, analytics tools, hosting providers, and others). Your use of third-party services is governed by their terms and policies. We are not responsible for third-party services, including their availability, security, pricing, or policy enforcement.

11. Privacy

12. Disclaimers

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

13. Limitation of Liability

To the fullest extent permitted by law, DigitalRealm Solutions and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or goodwill, arising out of or related to your use of the Services.

To the fullest extent permitted by law, our total liability for any claim related to the Services will not exceed the amount you paid to us for the specific Services giving rise to the claim during the three (3) months prior to the event giving rise to liability.

14. Indemnification

You agree to defend, indemnify, and hold harmless DigitalRealm Solutions from and against claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or third-party rights, or (d) content you submit, post, or transmit through the Services.

15. Termination

We may suspend or terminate your access to the Services at any time if we believe you violated these Terms, created risk for us or others, or for any lawful reason. Upon termination, your right to use the Services stops immediately.

16. Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above indicates when changes were made. By continuing to use the Services after updates become effective, you agree to the updated Terms.

17. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

18. Dispute Resolution

Before initiating a formal dispute, you agree to contact us and attempt to resolve the matter informally by emailing [email protected]. If we cannot resolve the dispute informally, either party may pursue any rights and remedies available under applicable law.

19. Miscellaneous

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect. These Terms, together with any applicable written agreement, invoice, or order form, constitute the entire agreement between you and us regarding the Services.
